These Terms and Conditions (“Terms”) govern your access to and use of the websites, mobile applications, and online services operated by TradepathAI LLC, an Idaho limited liability company (“TradepathAI,” “we,” “our,” or “us”), including but not limited to TradePath and TradeSage 1.0 (together, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Definitions

• “Account” means your registered user account for the Services.
• “Content” means any data, text, notes, screenshots, journal entries, or other materials uploaded or submitted by you.
• “Insights” means outputs generated by the Services, including TradeSage’s AI-powered suggestions.
• “User Data” means Content, trade information, and any related personal or trading data you input or connect via broker integrations.

2. Eligibility and Accounts

You must be at least 18 years old and have the legal capacity to enter into these Terms. You agree to provide accurate information when registering and to maintain the security of your Account credentials. You are responsible for all activity under your Account.

3. Scope of Services

TradepathAI provides software tools including:

• TradePath, an AI-powered trading journal and analytics platform.
• TradeSage 1.0, an AI mentor that reviews trade data to highlight patterns and suggest improvements.
• Additional features such as dashboards, statistics, Habit Builder, ZEN mindfulness tools, and broker integrations.

We may add, modify, or discontinue features at any time without notice.

4. Beta Features

Certain features, including TradeSage, may be released as beta, pilot, or early access tools. These are offered as-is, may be incomplete, and may be modified or discontinued without notice. You assume all risks of using beta features.

5. No Financial Advice

The Services, including TradeSage, provide educational and informational insights only. TradepathAI is not a broker, dealer, investment adviser, or fiduciary. Nothing in the Services constitutes financial, investment, trading, or other professional advice.

You acknowledge and agree that:

• Trading involves significant risk of loss.
• Insights may be incomplete, inaccurate, biased, or malfunction.
• You are solely responsible for verifying and relying on your own judgment before making trades.

6. User Responsibilities

You agree not to:

• Use the Services for unlawful purposes.
• Attempt to reverse engineer, scrape, or replicate the software, models, or algorithms.
• Share your Account with others.
• Rely on the Services as a substitute for independent financial research.

You are responsible for complying with the laws of your own country or jurisdiction when using the Services.

7. User Content and License

• You retain ownership of your Content.
• By using the Services, you grant TradepathAI a worldwide, royalty-free license to host, process, analyze, and display your Content in order to operate and improve the Services.
• You also grant us the right to use anonymized or aggregated data derived from your Content to develop and improve our products and models.
• If you voluntarily submit feedback, reviews, or testimonials, you grant us permission to use them (including excerpts) for marketing and promotional purposes without further consent.

8. Payments and Subscriptions

• Subscription plans (monthly and yearly) are billed as described at tradepath.ai/pricing.
• Subject to applicable law, subscription fees are refundable only if a written request for cancellation is received within fifteen (15) calendar days of the initial subscription (“Grace Period”). Following the expiration of the Grace Period, all payments shall be deemed fully earned and non-refundable.
• Your subscription will automatically renew unless you cancel before the renewal date.
• TradepathAI may suspend or terminate your Account for non-payment or chargebacks.

9. Broker Integrations and Third-Party Services

The Services may allow you to connect third-party broker accounts or use third-party APIs. TradepathAI disclaims all responsibility for errors, delays, data inaccuracies, or failures caused by third parties.

10. Risk Disclosure

Trading futures, currencies, options, and similar instruments involves substantial risk and may not be suitable for all investors. You should only trade with funds you can afford to lose. Past performance does not guarantee future results.

11. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms.

12. Termination and Data Export

TradepathAI may suspend or terminate your Account immediately for misuse, non-payment, violation of law, or breach of these Terms.

Upon termination, you will have 7 days to export your Content; after that, it will be permanently deleted.

13. Intellectual Property

The Services, including software, algorithms, models, and trade scoring systems, are the property of TradepathAI and protected by law. You receive only a limited, non-exclusive license to use the Services for personal, non-commercial purposes in accordance with these Terms.

14. Promotions and Trials

Free trials, discounts, and promotional offers are provided at TradepathAI’s sole discretion and may be modified or withdrawn at any time without notice.

15. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. TradepathAI makes no guarantee of uptime, performance, accuracy, or reliability of outputs.

Events outside our reasonable control (including outages, strikes, natural disasters, regulatory actions, or Internet failures) may disrupt Services; TradepathAI is not liable for such interruptions (force majeure).

16. Limitation of Liability

To the fullest extent permitted by law, TradepathAI’s total liability to you for any claim is limited to the total fees you paid for the Services in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless TradepathAI from any claims, losses, or expenses arising out of:

• Your misuse of the Services,
• Your violation of these Terms or applicable law, or
• Any claims or disputes related to your trading activity.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles.

All disputes shall be resolved exclusively in the state or federal courts located in Ada County, Idaho, and you consent to the personal jurisdiction and venue of those courts.

19. Class Action Waiver

You may bring claims only on an individual basis. You may not bring claims as a plaintiff or class member in any purported class, collective, or representative proceeding.

20. Modifications to Terms

We may update these Terms at any time. Continued use of the Services constitutes your acceptance of the updated Terms.

21. Assignment

These Terms are binding upon and inure to the benefit of TradepathAI (or any successor entity) and its successors and assigns.

TradepathAI may assign these Terms in connection with a merger, acquisition, corporate conversion, sale of assets, or other corporate restructuring. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

22. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of such right or provision.

23. Survival

The following provisions survive termination: Beta Features, No Financial Advice, User Content and License, Risk Disclosure, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Class Action Waiver, Assignment, Severability, and Survival.

24. Governing Language

These Terms are written in English and shall prevail over any translations provided for convenience.
